1. What Meridian is
Meridian is a market-analytics tool. It computes indicators, models and backtests over market data and shows you the resulting state of a market — regime, energy, flow, structure. It is software you point at data. Nothing more.
These Terms are the agreement between you and Meridian, an individual sole proprietor operating Meridian from Thailand ("Meridian", "we", "us"), covering your use of the Meridian website, terminal, research pages and any related service. By creating an account or using the service you accept them. If you do not accept them, do not use the service.
2. Meridian is not investment advice
This is the most important clause in this document, so it is near the top.
- We are not a licensed investment adviser, broker, dealer, fund manager or digital-asset business, in Thailand or anywhere else. We hold no such licence and we do not act as one.
- Meridian shows market state, never an instruction. It does not tell you to buy, sell or hold any asset, and it is not a personal recommendation to anyone. Any output — a pane, a score, a research page, a marker on a chart — is a description of data, not a call to act.
- Nothing on the service is a solicitation or offer to trade any security, digital asset, derivative or other instrument.
- Trading and investing carry real risk of loss, up to and including the total loss of your capital. Leverage magnifies that. You are the investor. We are a tool vendor.
- If you want advice about your own financial situation, talk to a licensed adviser. We cannot give it and we will not pretend to.
3. Backtests, alerts, strategies and automations
- Backtests are history, not a forecast. A backtest reports what a rule would have done over a past sample, with all the usual limits: fees, slippage, liquidity, survivorship, look-ahead and overfitting can all make a historical result unreachable in live markets. Past performance does not guarantee future results.
- Alerts are yours. An alert tells you that a condition you defined has occurred. It is not our opinion and not a recommendation.
- Strategies and automations are yours. You assemble them from the tools we provide. Any template we ship is an example of how the tools work, not a strategy we endorse or expect to be profitable.
- Automation does not transfer responsibility. An automation you build, deploy and leave running is your trading, executed on your account, on your instructions.
4. Exchange API keys, and why we never hold your money
Meridian holds no custody of your funds. Ever. There is no Meridian wallet, no Meridian account balance, no pooling.
- You connect your own exchange API keys. Orders leave from your own exchange account, under your own agreement with that exchange.
- We do not accept, hold, pool, transfer or withdraw your funds, and we have no ability to do so.
- You must connect trade-only keys with withdrawal permission disabled. If we detect a key with withdrawal permission enabled we will warn you; keeping such a key connected is your decision and your risk.
- Your API keys are encrypted at rest and never logged in plaintext. See the Privacy Policy for the detail.
- A kill-switch is available to you at all times and stops every running automation immediately. Know where it is before you deploy anything.
- Keep your keys, passwords and account credentials safe. You are responsible for everything done through your account. Tell us immediately if you think it has been compromised.
5. You own your trading decisions
Every order placed through a key you connected is your order. Every strategy is your strategy. Every profit is yours and every loss is yours. We do not share in either.
We are not liable for losses arising from your strategies or automations, from your configuration, from your reading of a pane, from an exchange's fault, outage, liquidation engine, API change or rate limit, or from any market movement whatsoever.
6. Eligibility and your account
- You must be at least 18 years old and legally able to enter a contract.
- You are responsible for using Meridian lawfully where you live, including any local rules on trading, digital assets, tax and market conduct. We do not check this for you, and access to the service is not a statement that it — or the trading you do with it — is permitted in your country.
- Give us accurate account details, keep your credentials secret, and do not share or resell your account.
- One human, one account, unless we agree otherwise in writing.
7. Acceptable use
Do not:
- resell, sublicense, redistribute or white-label the service or its outputs as your own product;
- scrape, crawl or bulk-extract data or model outputs, or use the service to build a competing product;
- reverse-engineer, decompile or attempt to extract our source code, model logic or indicator kernels beyond what applicable law allows;
- break, probe or overload the service, evade rate limits, or use it to attack anyone else;
- use the service to manipulate a market, to trade on unlawfully obtained information, or for money laundering, sanctions evasion or any other unlawful purpose;
- use the service to run an investment-advisory or asset-management business for third parties without holding the licence that requires.
8. Market data
Meridian displays and analyses market data from third parties (for example Binance and other exchanges). That data is supplied to you as is and without warranty. It may be delayed, incomplete, out of order, revised or simply wrong, and a third-party source can change or withdraw access at any time.
We are not the source of that data and we do not guarantee its accuracy, completeness or availability. Use of a third-party source through Meridian may also be subject to that provider's own terms.
9. Subscriptions, billing and refunds
- Paid plans are sold through Lemon Squeezy, our merchant of record and the seller of record for your purchase. Its buyer terms and privacy notice apply to the transaction. Lemon Squeezy handles payment processing, receipts, refunds, chargebacks and applicable transactional sales tax, VAT or GST.
- Prices are in USD. Subscriptions renew automatically each billing period until you cancel. You can cancel at any time; the cancellation takes effect at the end of the period you have already paid for, and you keep access until then.
- Refunds: 14 days, conditional. You may request a refund within 14 calendar days of a charge by contacting admin@axyra.one or Lemon Squeezy. Requests are assessed individually and may be refused where the plan has been substantially used, the request appears abusive, or the law does not require a refund. Mandatory consumer rights always prevail. Lemon Squeezy processes every approved refund and may also issue a refund under its own buyer terms and chargeback-prevention policy. - Price changes are announced at least 30 days in advance and existing subscribers keep their current price for 12 months from the announcement. If you do not accept a new price, cancel before it takes effect.
- If a payment fails or is charged back, we may suspend access until it is resolved.
10. Compute credits
- What a credit is. A credit is a prepaid allowance to use Meridian's own computing capacity — server backtests, Quant Lab experiments, Edge Atlas analyses and automations that keep running while you are away. It is a software-usage allowance and not money, not a stored-value instrument, not a deposit, not a security, and not a share of any profit. Credits have no cash value, cannot be redeemed for cash, and cannot be transferred between accounts.
- Plans unlock, credits meter. Your plan decides which capabilities you may use; credits pay for the compute a capability consumes. Holding a balance never grants a capability your plan does not include, and an empty balance never removes one it does.
- Included credits expire. Each billing cycle grants the allowance published for your plan. An annual subscription receives twelve monthly grants rather than one. Included credits are spent before purchased ones, and any unspent balance from an included grant expires at the end of the cycle that granted it and does not roll over.
- Purchased credits, and what happens if you leave. Credits bought as a top-up pack remain available while your plan is a paid one. If your plan becomes Free — by cancellation, non-payment or downgrade — any remaining purchased credits are frozen for 30 days rather than destroyed. Resubscribe within that window and they become available again; after it they lapse.
- Refunds and reversals. A refunded, reversed or charged-back credit pack has its unspent value withdrawn from your balance. Credits already consumed are not recoverable, and where consumption exceeds the reversal we may record the shortfall against the account rather than reverse work already performed. Refunds of credit packs are handled under the same 14-day policy as subscriptions.
- What we never charge for. We do not charge for compute that runs on your own device, for our own infrastructure failures, or for any action that reduces your risk — closing a position, a reduce-only order, a stop-loss, repairing a protection, reconciling with a venue, or emergency flattening. Those execute regardless of your balance.
- Rates may change; a purchase does not. The rate at which a workload consumes credits is published and versioned. A change applies to work performed after it takes effect and never re-prices work already settled.
11. The service is provided "as is"
We build carefully and we care about correctness, but we make no warranties. The service is provided as is and as available, with no guarantee that it will be uninterrupted, error-free, timely, secure, or that any indicator, model, backtest or automation will behave as you expect or be profitable.
There is no uptime guarantee and no SLA. We may deploy, change, degrade or take down parts of the service, including for maintenance, and an automation may stop running as a result. Do not build anything you cannot afford to have stop.
To the maximum extent permitted by law we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement.
12. Limitation of liability
To the maximum extent permitted by law:
- Our total liability to you, for everything, is capped at the subscription fees you have actually paid us in the 12 months before the event giving rise to the claim. If you have paid us nothing, our liability is zero.
- We are not liable for trading losses, lost profits, lost opportunity, lost data, or any indirect, incidental, special, consequential or punitive damages.
- We are not liable for losses caused by your own strategies or automations, by your configuration or misconfiguration, by an exchange or data provider's fault or outage, by your internet connection, or by market conditions.
Nothing here excludes liability that cannot be excluded by law — including for fraud, or for death or personal injury caused by negligence.
13. Intellectual property
The Meridian software, indicators, models, research, design, brand and documentation are ours and stay ours. Your subscription buys you a limited, personal, non-exclusive, non-transferable right to use the service while it is active. It does not transfer ownership of anything.
What you create — your layouts, your strategies, your automation configurations, your notes — remains yours. You grant us only the permission we need to host, process and display it back to you so the service works.
14. Suspension and termination
You can close your account at any time from the settings page. Closing it deletes your data, including your stored exchange keys — see the Privacy Policy.
We may suspend or terminate an account that breaches these Terms, that threatens the security or stability of the service, or where we are required to by law. Where it is reasonable to do so we will tell you first. If we terminate without cause, we will refund the unused part of your current billing period.
Closing your account does not close your positions. Cancel your orders and stop your automations yourself, and revoke the API keys at your exchange.
15. Changes to these Terms
We may update these Terms. If a change is material we will give notice by email or in the product before it takes effect. Continuing to use the service after that means you accept the new version. If you do not, close your account.
16. Governing law
These Terms are governed by the laws of Thailand, and the courts of Thailand have jurisdiction over any dispute arising from them. If you are a consumer, this does not remove any mandatory protection you have under the law of the country where you live.
The English version of these Terms is the governing text. Any translation is provided as a courtesy; if the two disagree, the English controls.
